Welcome to Rally Us! These Terms of Service ("Terms") govern your use of the Rally Us website at rally-us.com and related services (collectively, the "Service") operated by mad concepts llc ("we," "our," or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

2. Account Registration

To access certain features, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Keep your account credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

3. Description of Service

Rally is a gamified challenge and engagement platform that allows users to:

  • Create and manage groups for teams, families, or communities
  • Design and run interactive challenges (quizzes, photo challenges, AI-powered games, etc.)
  • Build "lore" — shared memories, inside jokes, and personalization data for AI-enhanced experiences
  • Track participation, scores, and leaderboards
  • Receive notifications and reminders via email and SMS

4. User Content

Your Content

You retain ownership of content you submit, post, or display on the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute your User Content in connection with operating and improving the Service.

Content Guidelines

You agree not to submit User Content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy
  • Infringes any patent, trademark, trade secret, copyright, or other intellectual property rights
  • Contains viruses, malware, or other harmful code
  • Is spam, advertising, or promotional material without our consent
  • Impersonates any person or entity or misrepresents your affiliation
  • Contains sexually explicit material or content depicting minors
  • Promotes violence, discrimination, or hatred against any group

We reserve the right to remove any User Content that violates these guidelines or for any other reason at our discretion.

AI-Generated Content

The Service uses artificial intelligence to generate content such as challenge prompts, roasts, and suggestions based on your group's lore. You understand that:

  • AI-generated content is created algorithmically and may not always be accurate or appropriate
  • You are responsible for reviewing AI-generated content before sharing it with others
  • We do not guarantee that AI-generated content will be free from errors or offensive material
  • You may report inappropriate AI-generated content for review

5. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers/networks connected to it
  • Use automated means (bots, scrapers, etc.) to access the Service without permission
  • Collect or harvest other users' personal information without consent
  • Engage in any activity that could harm or exploit minors
  • Circumvent any access controls or rate limits
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to send unsolicited communications (spam)
  • Create multiple accounts to evade bans or restrictions

6. Groups and Challenges

Group Organizers

If you create a group, you are the "Organizer" and are responsible for:

  • Managing group membership and permissions
  • Ensuring challenges are appropriate for your group members
  • Moderating User Content within your group
  • Complying with these Terms and ensuring group members do the same

Group Participants

If you join a group, you agree to:

  • Follow the rules and guidelines set by the group Organizer
  • Participate in good faith and treat other members respectfully
  • Not share group content or lore outside the group without permission

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by mad concepts llc and are protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

8. Third-Party Services

The Service may contain links to or integrate with third-party websites and services. We are not responsible for the content, privacy policies, or practices of third-party services. Your interactions with third-party services are governed by their terms and policies.

9. Payments and Subscriptions

Rally currently offers free access to the Service. If we introduce paid features or subscriptions in the future, we will update these Terms and provide clear pricing information before you are charged.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RALLY AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE PAST TWELVE MONTHS FOR THE SERVICE.

12. Indemnification

You agree to defend, indemnify, and hold harmless Rally and its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may contact us at support@rally-us.com.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in California, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you waive any right to a jury trial.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rally regarding the Service and supersede all prior agreements and understandings.
